What is a Publication?

 

The formation of a New York Limited Liability Company (LLC) is not complete unless they publish a legal notice of its formation with two (2) newspapers that are designated by the County Clerk's office within 120 days after the effectiveness of the Articles of Organization. Section 202 states that failure to comply revokes the authority of the LLC to transact business in New York until the publication has been completed.

 

What do they require?

 

The legal notice must be published in one daily and one weekly published newspaper designated by the County Clerk's office of the county in which the principal office is located. The notices must run for six (6) consecutive weeks, totaling twelve (12) times altogether. After the notices are published twelve (12) times, you must obtain and file the Affidavits of Publication with the Department of State.
